General Terms and Conditions

 

QA 1:

Machining suppliers must furnish inspection report, certificate of conformance and as applicable material and processing certifications for the parts they submit to NUMERIC ENGINEERING, INC..

QA 2:

Documented first article inspection reports shall be submitted to NUMERIC ENGINEERING, INC. Quality Department prior to the beginning of production. The supplier assumes all financial responsibility for replacement, rework, and material when production of parts is begun without first article inspection approval from NUMERIC ENGINEERING, INC. Quality Department. AS9102 f/a form when stipulated on P.O.

QA 3:

Any delay in shipment for any reason has to be conveyed to NUMERIC ENGINEERING, INC. Quality as soon as the delay is known by the supplier.

QA 4:

Any change to the contract requirements by the supplier must be approved by the NUMERIC ENGINEERING, INC. in writing. Notify NUMERIC ENGINEERING, INC. of changes in product and/or process, changes of suppliers, changes of manufacturing facility location and, where required, obtain NUMERIC ENGINEERING, INC. approval.

QA 5:

All information in the contract must be held in confidence by the supplier and no third-party request for information will be authorized unless instructed in writing by a NUMERIC ENGINEERING, INC. representative. When ITAR and/or government rated data is noted on the purchase order, the US government restrictions must be followed. If you have any questions concerning ITAR or government rating notify the company buyer. All concerns must be answered prior to you accepting this order. All documents to be retained for 10-year min unless extended retention is required by NUMERIC ENGINEERING, INC. or its customers. Disposition of NUMERIC ENGINEERING, INC.’s records shall be disposed of by shredding (if hard copy) and record of documents shredded kept on file or deletion/purged in a way so that the records can’t be retrieved for future use (if retained electronically). 

QA 6:

In addition to NUMERIC ENGINEERING, INC.’s right of access, the supplier agrees to right of access for NUMERIC ENGINEERING, INC. customers, or regulatory agencies to all facilities at any level of the supply chain, involved in the order and to all applicable records in the performance of this contract.

QA 7:

Manufacturers or machining suppliers must have a quality system in compliance to AS9003, AS9100, or ISO9001; NUMERIC ENGINEERING, INC. may make conditional exceptions based on supplier survey information or applicable customer requirements.

 QA 8:

Suppliers are required to notify NUMERIC ENGINEERING, INC. prior to transferring any work to a new facility.

 QA 9:

Counterfeit Parts must be prevented from being delivered to NUMERIC ENGINEERING, INC.. (A product produced or altered to imitate or resemble a product without authority or right to do so, with the intent to mislead or defraud by passing the imitation as original or genuine.)

QA 10:

Supplier must notify NUMERIC ENGINEERING, INC. immediately of nonconforming product. Supplier must pack nonconforming product separately from good parts, or have nonconforming product clearly tagged, and all parts returned to NUMERIC ENGINEERING, INC. for disposition.

QA 11:

Requirements for the supplier to flow down to their sub-tier suppliers the applicable requirements in NUMERIC ENGINEERING, INC. purchasing documents, including key characteristics and applicable F.O.D. control processes where required.

QA 12:

Requirements for the supplier to comply with executive order E13224. Supplier shall not engage in any transaction of any type with persons or businesses or organizations who commit, threaten to commit or support terrorism.

QA 13:

Unless noted otherwise, product(s) shall be processed in accordance with the specification(s) noted to the revision in effect at the time the order is accepted. If any specifications listed are cancelled, superseded or obsolete, contact NUMERIC ENGINEERING, INC. for further instructions.

QA 14:

Conflict Minerals Reporting for Direct Material: Our Policy: In selecting supply partners, NUMERIC ENGINEERING, INC. places great importance on the responsible sourcing of materials used in our products. That commitment includes the avoidance of tin, tantalum, tungsten, gold (or their derivatives) originating from the Democratic Republic of the Congo (DRC) and nine adjoining countries where armed groups may be using revenue from mining operations to finance conflicts resulting in human rights abuses. In July 2010, Congress enacted Section 1502 of the Dodd-Frank Act which requires certain publicly traded companies to annually file a report with the U.S. Securities and Exchange Commission disclosing the source and chain of custody of conflict minerals. NUMERIC ENGINEERING, INC. is fully committed to complying with the enacted legislation and supporting the industry-wide efforts to ensure extracted minerals are not originating from mines in the conflict regions. Our expectation: As part of our supplier certification process, all suppliers of direct material to NUMERIC ENGINEERING, INC. shall disclose whether or not their products contain tin, tantalum, tungsten, gold (or their derivatives) Suppliers whose products do contain such materials shall also be required to complete a declaration utilizing the EICC/GeSI Conflict Minerals Reporting Template. Suppliers shall also pass these requirements on to their supply chain partners who supply products containing tin, tantalum, tungsten, or gold (or their derivatives). Suppliers must keep conflict minerals declarations current and promptly notify NUMERIC ENGINEERING, INC. of any changes. NUMERIC ENGINEERING, INC. shall have the right to terminate purchase contracts with suppliers who fail to comply with NUMERIC ENGINEERING, INC.’s efforts to meet the requirements of Section 1502 of the Dodd-Frank Act and to responsibly source materials used in our products.

 QA 15:

ensuring that persons are aware of:
− their contribution to product or service conformity;
− their contribution to product safety;
− the importance of ethical behavior.

Processing Suppliers

QA 16:

Processing suppliers must furnish processing certifications to NUMERIC ENGINEERING, INC. per purchase order requirements, and shall not process any parts for which they are not certificated or approved. Acceptable quality system requirement are AC7004, ISO9001, or AS9100; NUMERIC ENGINEERING, INC. may make conditional exceptions based on supplier survey information or applicable customer requirements. Supplier must have the ability to ensure the adequacy of the special-process provided and provide NUMERIC ENGINEERING, INC. the required documentation per purchase order requirements. Material Suppliers 

QA 17:

Material suppliers must furnish material certifications to NUMERIC ENGINEERING, INC. per our purchase order requirements, and shall not supply material for which they are not certificated or approved. All material (finished or raw shall have full traceability on paperwork.) All raw material supplied must be USA domestic material or DFAR’s compliant unless otherwise noted on our purchase orders. Acceptable quality system requirements are ISO9001, AS9100 or AS9120; NUMERIC ENGINEERING, INC. may make conditional exceptions based on supplier survey information or applicable customer requirements. The Supplier must have the ability to ensure the adequacy of the product provided and provide NUMERIC ENGINEERING, INC. the required documentation per purchase order requirements and full traceability of material.  The following apply: QA 3, QA 4, QA 5, QA 6, QA 8, QA 9, QA 10, QA 11, QA 12, QA 13, QA 14, QA 15

QA 18:

For Manufacturing suppliers are applicable. The Supplier must have the ability to ensure the adequacy of the product provided to NUMERIC ENGINEERING, INC. and provide the required documentation per purchase order requirements.

Calibration and Testing Suppliers

QA 20:

Calibration and Testing suppliers must furnish calibration/test reports to NUMERIC ENGINEERING, INC. purchase order requirements, and be traceable to the specific equipment or item for which they are calibrating or testing, traceability to NIST and/or other national or international standards must be supplied. ISO9001, ISO 17025, Nadcap testing, ANSI Z540, and/or Navlap accreditation will be the quality system requirements; NUMERIC ENGINEERING, INC. may make conditional exceptions based on supplier survey information or applicable customer requirements. All suppliers must comply with the
General Terms and Conditions according to the commodity supplied.
Additional Quality clauses will be noted on the Purchase Order as applicable.
